1. Application
Unless otherwise agreed in writing, these general delivery terms apply to all supplies where Gutermann AS has assumed delivery responsibility for sale of equipment and material to the CUSTOMER. 2. Offer, acceptance, order confirmation and contract signing
Offers are given based on these terms, which are binding unless agreed otherwise in writing. Offers are valid for 30 days and based on availability. The offer is non-binding until acceptance covers the offer and the purchase contract is signed. When ordering, the CUSTOMER accepts Gutermann’s offer and terms. The CUSTOMER’s own terms have no effect. A valid contract exists when Gutermann confirms the order or dispatches the products. Deviations in the order confirmation must be contested within 3 working days. The supply includes what is specified in the order confirmation, purchase agreement, and referenced documents. 3. Prices
Prices exclude VAT, taxes, freight, and charges. Prices may be adjusted if currency variation exceeds 3 %. Rental charges apply from equipment leaving the workshop until returned. 4. Delivery
Delivery is interpreted according to applicable INCOTERMS unless agreed otherwise. If no clause is agreed, delivery is “Ex Works”. 5. Delivery time
Gutermann may choose the exact delivery date within any agreed delivery period. 6. Transfer of risk
Risk transfers to the CUSTOMER upon delivery. 7. Payment terms
Payment net within 30 days. Late payment interest: 1 % per month commenced. 8. Cancellation
Buyer may cancel in writing. Buyer pays for work performed and documented necessary expenses. 9. Vendor’s lien and use of hired objects
Gutermann retains ownership until the item is fully paid. 10. Amendments
Seller must notify immediately if changes are required, including cost and delivery impacts. Changes instructed by the CUSTOMER must be responded to immediately. No changes are implemented without written CUSTOMER consent. 11. Delivery test
Equipment is tested per Gutermann’s QA manuals. Faults discovered during testing are remedied before handover. 12. Delay
Gutermann shall notify the CUSTOMER without undue delay if delay occurs or seems likely. 13. Insurance
The CUSTOMER must take out full-value insurance from transfer of risk until full payment. 14. Limitation of liability
Gutermann is not liable for indirect loss such as production or income loss, or damage to persons, property or goods with the CUSTOMER or third parties. The CUSTOMER shall indemnify Gutermann. 15. Force Majeure
Gutermann is released from obligations due to uncontrollable events including labour dispute, fire, war, natural catastrophes, mobilisation, military call-ups, or supplier delays. 16. Specifications and drawings
Technical documents remain Gutermann’s property. Agreed documentation sets will be provided to enable operation and maintenance of the delivered equipment. 17. Faults
Gutermann is liable for faults due to material or manufacturing defects within 12 months of delivery. Complaints must be made within 8 days after discovery. Gutermann decides how the fault is remedied. Workshop repairs include freight, labour and parts. External repairs are charged to the CUSTOMER. Replaced parts must be kept for 6 months for inspection. No liability for wear, incorrect handling, inadequate maintenance, non-approved parts or unauthorized modifications. Goods cannot be returned unless agreed. 18. Legal venue
Disputes shall be settled under Norwegian law in Stavanger Municipal Court.
